These Terms and Conditions (“Terms”) govern your access to and use of the SpatioWorld Tracking (Wenotix Safe) platform and services provided by Spatioworld Technologies Private Limited (“Spatioworld”, “SpatioWorld Tracking (Wenotix Safe)”, “Company”, “we”, “our”, or “us”).

Please read these Terms carefully before using our Services.

By accessing or using any SpatioWorld Tracking (Wenotix Safe) Service, you agree to be legally bound by these Terms. If you do not agree, you must not access or use the Services.

1. Definitions

For the purposes of these Terms:

Application means the SpatioWorld Tracking (Wenotix Safe) mobile application available for Android and iOS.

Company means Spatioworld Technologies Private Limited.

Customer means any individual, business, organization, or entity that registers or subscribes to the Services.

Device means any computer, smartphone, tablet, GPS tracker, IoT device, vehicle tracking device, or other hardware capable of accessing or transmitting data to the Services.

GPS Device means any compatible hardware capable of transmitting location information to SpatioWorld Tracking (Wenotix Safe)

Service means collectively:

User means any person accessing or using the Services.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding agreement to use the Services.

If you register on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Acceptance of Terms

By creating an account, installing the Application, or using any SpatioWorld Tracking (Wenotix Safe) Service, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy.

If you do not agree with these Terms, you must discontinue use of the Services immediately.

4. Description of Services

SpatioWorld Tracking (Wenotix Safe) provides cloud-based GPS tracking and location intelligence services, including but not limited to:

• Fleet Management
• Vehicle Tracking
• Personal Safety Tracking
• Live GPS Tracking
• Historical Route Playback
• Geofencing
• Device Monitoring
• Notifications and Alerts
• Mapping Services
• Geocoding Services
• Reporting and Analytics
• API Access (where applicable)

Certain features may require an active subscription.

5. User Accounts

To access certain features, you must create an account.

You agree to:

• Provide accurate information.
• Keep your information updated.
• Maintain the confidentiality of your password.
• Notify us immediately of unauthorized account use.
• Be responsible for all activities performed through your account.

Passwords are securely hashed and cannot be recovered by SpatioWorld Tracking (Wenotix Safe).

6. GPS Tracking

The Services allow Users to collect, store, and display GPS location data.

You represent and warrant that:

• You have lawful authority to track any person, vehicle, or asset added to your account.
• You will obtain all legally required consents before tracking another individual.
• You will comply with all applicable privacy and surveillance laws.

You are solely responsible for ensuring your use of GPS tracking complies with applicable laws in your jurisdiction.

SpatioWorld Tracking (Wenotix Safe)  is not responsible for unlawful or unauthorized tracking conducted by users.

7. Acceptable Use

You agree not to:

• Use the Services for illegal purposes.
• Track individuals without lawful authority or required consent.
• Attempt unauthorized access to our systems.
• Reverse engineer or interfere with the Services.
• Upload malware or malicious code.
• Interfere with network security.
• Abuse APIs or attempt denial-of-service attacks.
• Violate any applicable law or regulation.

Violation of this section may result in immediate suspension or termination of your account.

8. Subscription and Billing

Certain Services require payment.

You agree to:

• Pay all applicable subscription fees.
• Provide accurate billing information.
• Pay applicable taxes.
• Maintain valid payment methods.

Failure to make payment may result in suspension or termination of Services.

Unless otherwise stated, subscription fees are non-refundable except where required by applicable law.

9. Intellectual Property

All intellectual property rights in the Services, including software, source code (excluding open-source components), trademarks, logos, graphics, documentation, and content, remain the exclusive property of Spatioworld Technologies Private Limited or its licensors.

10. Open Source Software

SpatioWorld Tracking (Wenotix Safe) incorporates certain open-source software components to provide and enhance the Services.

These may include, but are not limited to:

• Traccar (GPS Tracking Server)
• PostgreSQL
• Photon Geocoding
• Martin Vector Tiles
• Proton PMTiles
• Linux and other open-source libraries

Each open-source component remains subject to its respective license. Nothing in these Terms limits or replaces the rights granted under those licenses.

11. Maps and Geocoding Services

SpatioWorld Tracking (Wenotix Safe) provides mapping and geocoding functionality under the following service names:

• SpatioWorld Maps, powered by Martin Vector Tiles and Proton PMTiles.
• SpatioWorld Geocoding, powered by the Photon geocoding engine.

Maps, addresses, routes, coordinates, and geocoding results are provided for convenience only.

The Company does not guarantee the completeness, accuracy, or availability of mapping or geocoding information and shall not be liable for any loss arising from inaccuracies or interruptions in these services.

12. Third-Party Services

The Services may integrate or interact with third-party services, including but not limited to:

• Google Play Services
• Apple App Store
• Payment processors
• Email providers
• Cloud infrastructure providers
• Push notification providers
• GPS device manufacturers

Your use of such third-party services may be governed by their respective terms and privacy policies.

The Company is not responsible for the availability, content, or practices of third-party services.

13. User Content

You retain ownership of the information, GPS data, documents, reports, and other content that you upload to the Services.

By uploading or submitting content, you grant the Company a non-exclusive, worldwide, royalty-free license to use, process, transmit, reproduce, and display such content solely for the purpose of providing, maintaining, securing, and improving the Services.

You represent that you have all necessary rights and permissions to upload such content.

14. Service Availability

While we strive to provide reliable Services, we do not guarantee that the Services will be available at all times.

Service interruptions may occur due to:

• Scheduled maintenance
• Emergency maintenance
• Internet failures
• Telecommunications issues
• Hardware failures
• Software defects
• Force majeure events
• Third-party outages

We may modify, suspend, or discontinue any feature of the Services without prior notice where reasonably necessary.

15. Software Updates

The Company may release updates, bug fixes, security patches, or new versions of the Applications and Services.

You agree to install updates where required for security, compatibility, or continued operation of the Services.

Failure to install critical updates may result in reduced functionality or inability to access certain features.

16. Account Suspension and Termination

We reserve the right to suspend or terminate your account immediately, with or without notice, if:

• You violate these Terms.
• You provide false information.
• Subscription fees remain unpaid.
• Your activities pose a security risk.
• We receive lawful instructions from governmental or judicial authorities.
• Your use may expose the Company or other users to legal liability.

Upon termination:

• Your right to use the Services immediately ceases.
• Active subscriptions may be cancelled in accordance with applicable laws and subscription terms.
• We may retain certain information where required by law or for legitimate business purposes.

17. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an “AS IS” and “AS AVAILABLE” basis.

The Company does not warrant that:

• The Services will always be uninterrupted.
• GPS data will always be accurate.
• Maps will always be current.
• Geocoding results will always be correct.
• The Services will be free from errors.
• Every software defect can or will be corrected.
• The Services will meet every individual or business requirement.

Location information may be affected by satellite visibility, mobile networks, hardware limitations, weather conditions, tunnels, buildings, or other environmental factors.

18. Limitation of Liability

To the fullest extent permitted by law, Spatioworld Technologies Private Limited, its directors, employees, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

• Loss of profits
• Loss of business
• Loss of revenue
• Loss of goodwill
• Loss of data
• Service interruptions
• Vehicle downtime
• Business interruption
• Personal injury resulting from misuse of the Services

Our total aggregate liability arising out of or relating to the Services shall not exceed the total amount actually paid by you to the Company during the twelve (12) months immediately preceding the event giving rise to the claim, or INR 10,000 (or the equivalent of USD 100), whichever is greater, unless a greater liability is required by applicable law.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

19. Indemnification

You agree to indemnify, defend, and hold harmless Spatioworld Technologies Private Limited, its directors, officers, employees, affiliates, licensors, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your misuse of the Services.
• Your violation of these Terms.
• Your violation of applicable laws or regulations.
• Unauthorized GPS tracking or surveillance.
• Infringement of any third-party rights.
• Any content uploaded or transmitted through your account.

20. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal information.

By using the Services, you acknowledge that you have read and understood our Privacy Policy and consent to the processing of your personal data in accordance with it.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, including the laws applicable in the State of Maharashtra, without regard to conflict of law principles.

Your use of the Services may also be subject to applicable local, state, national, or international laws in your jurisdiction.

22. Dispute Resolution

We encourage Users to contact us first to resolve any dispute or complaint regarding the Services.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiations.

If a dispute cannot be resolved amicably within thirty (30) days, it shall be subject to the exclusive jurisdiction of the competent courts located in Pune, Maharashtra, India, unless otherwise required by applicable law.

Nothing in these Terms limits either party’s right to seek interim or injunctive relief from a court of competent jurisdiction.

23. Compliance with Laws

You agree to use the Services only in accordance with all applicable laws, regulations, and governmental requirements.

You are solely responsible for ensuring that your use of GPS tracking, location monitoring, fleet management, or personal safety features complies with applicable privacy, employment, surveillance, telecommunications, transportation, and data protection laws.

24. International Users

The Services may be accessed from countries outside India.

If you access the Services from another country, you acknowledge that:

• You do so at your own initiative.
• You are responsible for compliance with your local laws.
• Your information may be transferred to and processed in India, Germany, or other jurisdictions where our service providers operate.

25. Export Control and Sanctions

You agree not to use, export, re-export, transfer, or provide access to the Services in violation of applicable export control, trade, or sanctions laws.

You represent that:

• You are not located in a country or territory subject to applicable trade sanctions that prohibit use of the Services.
• You are not listed on any applicable government restricted-party list that would prohibit access to the Services.

26. Force Majeure

The Company shall not be liable for any delay or failure in performing its obligations under these Terms where such delay or failure results from events beyond its reasonable control, including but not limited to:

• Natural disasters
• Floods
• Earthquakes
• Fires
• Epidemics or pandemics
• War
• Terrorism
• Civil unrest
• Government actions
• Internet outages
• Power failures
• Telecommunications failures
• Cyberattacks
• Failures of third-party service providers

Performance of the affected obligations shall be suspended for the duration of the force majeure event.

27. Suspension of Services

We may temporarily suspend all or part of the Services for:

• Scheduled maintenance
• Emergency maintenance
• Security incidents
• System upgrades
• Compliance with legal requirements

Where reasonably practicable, advance notice of scheduled maintenance will be provided.

28. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements expressly incorporated by reference, constitute the entire agreement between you and Spatioworld Technologies Private Limited regarding the Services.

They supersede all prior oral or written agreements relating to the Services.

29. Severability

If any provision of these Terms is determined by a court or competent authority to be unlawful, invalid, or unenforceable, that provision shall be interpreted to the minimum extent necessary to make it enforceable.

The remaining provisions shall continue in full force and effect.

30. Waiver

Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Any waiver shall be effective only if made in writing by an authorized representative of the Company.

31. Assignment

You may not assign or transfer your rights or obligations under these Terms without the Company’s prior written consent.

The Company may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate restructuring, sale of assets, or by operation of law.

32. Changes to these Terms

We reserve the right to modify or update these Terms at any time.

Where changes are material, we will make reasonable efforts to notify users by:

• Posting an updated version on our website.
• Displaying an in-app notification.
• Sending an email to registered users, where appropriate.

The updated Terms become effective on the date specified in the revised version.

Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

33. Electronic Communications

By using the Services, you agree to receive electronic communications from the Company, including:

• Account notifications
• Security alerts
• Billing notices
• Legal notices
• Service announcements
• Updates to these Terms or our Privacy Policy

Electronic communications satisfy any legal requirement that such communications be in writing.

35. Acceptance of Terms

By accessing, browsing, registering for, installing, or using any SpatioWorld Tracking (Wenotix Safe) website, web application, mobile application, API, GPS tracking service, or related Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

If you do not agree with these Terms, you must discontinue use of the Services immediately.

Nothing in these Terms grants ownership of any intellectual property.
